1. Wholesale Agreement
By placing an order with Total Wholesaler, you confirm that you are purchasing for resale or business use, and that you have the legal authority to enter into this wholesale agreement on behalf of your company.
2. Pricing & Quotes
All quoted prices are valid for 14 days unless stated otherwise. Prices are exclusive of taxes, duties, and freight unless explicitly listed as DDP. We reserve the right to revise pricing for orders beyond the quote validity period.
3. Minimum Order Quantities
Each SKU has a published MOQ. Orders below MOQ may be accepted at our discretion subject to surcharges.
4. Payment Terms
Standard terms are 30% deposit upon order confirmation, 70% prior to dispatch. Net-30 terms may be granted following a credit review. Late payments accrue interest at 1.5% per month or the maximum permitted by law.
5. Shipping & Risk of Loss
Risk of loss transfers to the buyer upon handover to the carrier (FOB origin) unless otherwise specified. We are not liable for carrier-caused delays but will assist in claims.
6. Returns & Defects
Defects must be reported within 7 days of delivery with photographic evidence. Approved defects are replaced or credited at our discretion. Buyer is responsible for resale compliance in their target market.
7. Intellectual Property
Buyer warrants that any custom branding artwork supplied does not infringe third-party rights. Buyer indemnifies Total Wholesaler against any IP claims arising from such artwork.
8. Limitation of Liability
Our aggregate liability under any order shall not exceed the invoice value of the goods giving rise to the claim. We are not liable for indirect, incidental, or consequential damages including lost profits.
9. Governing Law
These terms are governed by the laws of the State of Delaware, USA. Disputes are subject to the exclusive jurisdiction of the courts of Delaware.
