Terms & conditions

These terms govern the supply of goods by Total Wholesale to trade customers. Placing an order means you accept them.

1. Trade-only supply

We sell to businesses only. By placing an order you confirm that you are buying for resale or business use, and that you have authority to enter into this agreement on behalf of your company. We may ask for evidence of registration at any time and may suspend an account where we cannot verify it.

2. Pricing

Wholesale prices are shown to approved trade accounts and are confidential to your account. Quoted prices hold for 14 days unless we say otherwise. Prices exclude VAT, duties and carriage unless the quotation states that they are included. We may revise pricing on orders placed after a quotation has expired.

3. Minimum order quantities and case sizes

Each product carries a published minimum order quantity and case size. Orders round up to the nearest full case. We may accept below-MOQ orders at our discretion, subject to a handling surcharge.

4. Orders and acceptance

An order is an offer to buy. A contract forms only when we confirm the order in writing or dispatch the goods, whichever happens first. We may decline an order, including where stock is unavailable or where a pricing error is obvious.

5. Payment

New accounts pay in full before dispatch by card or bank transfer. Accounts with a consistent ordering history may apply for 30-day invoice terms, subject to a credit check. Late payment carries statutory interest and may result in terms being withdrawn.

6. Delivery and risk

Delivery dates are estimates given in good faith and are not guaranteed. Risk in the goods passes to you on delivery to the address you supply. Title does not pass until we have received payment in full.

7. Shortages, damage and returns

Report shortages and transit damage within 3 working days of delivery, and manufacturing faults within 30 days. Full details of reporting windows, restocking charges and how credits are issued are set out in our returns policy, which forms part of these terms.

8. Compliance and resale

You are responsible for compliance in the markets you resell into, including labelling, safety marking, local certification and any marketplace policy that applies to your listings. We supply documentation for the goods we sell but cannot warrant that a specific marketplace will accept a given application.

9. Intellectual property

Where you supply artwork for custom branding, you warrant that it does not infringe third-party rights and you indemnify us against any claim arising from its use.

10. Limitation of liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that, our total liability for any order is limited to the invoice value of the goods giving rise to the claim, and we are not liable for indirect or consequential loss including loss of profit, sales or goodwill.

11. Governing law

These terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
